Special Resolution: To change the minimum number of directors in the bylaws starting with this AGM.
Purpose: To reduce the minimum number of directors from 5 to 3 as also set out in the BC Societies Act starting with this AGM.
A) Change Bylaw 25 from:
(1) The president, vice president, secretary, treasurer and one or more other persons are the directors of the society. (2) The number of directors must be 5 or a greater number determined from time to time at a general meeting.
to
(1) The president, secretary, treasurer and zero or more other persons are the directors of the society. (2) The number of directors must be 3 or a greater number determined from time to time at a general meeting.
B) Since a bylaw alteration does not take effect until the alteration application is filed with the Registrar, this resolution also stipulates that a minimum of only 3 directors must be elected at the AGM at which the resolution is passed.
